How do I buy shares in the Company?

You will normally need to do this through a stockbroker although some high street banks also provide facilities for buying and selling shares. The London Stock Exchange publishes a ‘Guide to Share Investment Services’ which lists companies offering share dealing services. Their website can be found at www.londonstockexchange.com

Why does the Company have Depositary Interest holders?

Only companies incorporated in the UK can have their shares traded on the Aim and Main markets of the London Stock Exchange electronically through CREST – a quick and easy way to trade shares in dematerialized form. The shares of companies incorporated outside the UK need to be lodged with an appropriate custodian (in our case Computershare) who instead issues Depositary Interests which represent the shareholder’s shares. Depositary Interests can be traded on the stock exchange via the CREST system.

DI holders have the same voting rights and receive the same dividends as other shareholders.

How do I sell my shares?

As with buying shares, this will need to be undertaken by a stockbroker or done through a high street bank offering share selling facilities.

If you are a Depositary Interest holder you will need to contact your broker who will take care of this for you.

Changing Your Personal Details

If you move house, or change your name you should notify Computershare in writing. Any name changes will need to be evidenced with the appropriate documentation, such as a marriage certificate. If you are a joint shareholder, the first named shareholder will need to sign any written notification.

If you are a Depositary Interest holder you should advise your broker.

Transferring Shares

If you hold your shares in certificated form and would like to transfer your shares to someone else you will need to complete a Stock Transfer Form. This can either be obtained from Computershare in Jersey or you can download a form here.

Depositary Interest holders can transfer their shares by notifying their broker.

Stamp duty is not normally payable on shares that are transferred for no consideration and there is no stamp duty applicable to the Company’s certificated shares managed in Jersey. There are further details about stamp duty on the back of the Share Transfer Form but if you have any further queries you can contact Computershare.

Lost or Stolen Share Certificates

You need to notify Computershare as soon as possible of any loss or theft of your share certificate/s in order that the share register can be noted to protect your shareholding. A replacement certificate/s can be issued to you but you may be asked to sign an indemnity to prevent any later disputes over ownership.

On the Death of a Shareholder

Please contact the Registrars. They will need you to send them a copy of the death certificate or probate in the first instance. They will then be able to advise you of anything else you need to do and any other documents you may need to produce.

Depositary Interest holders will need to notify their broker.

DIVIDENDS

Dividends

Playtech normally declares two dividends each year – an interim dividend and a full year dividend. Any full year dividends declared are first subject to shareholder approval at the Company’s AGM.

All dividends are paid gross without any deduction of United Kingdom Income Tax. They are paid in euros but you can also elect to have them paid in sterling. Dividends are paid by cheque but dividends elected to be paid in sterling can also be paid directly into your bank or building society account. Full details about our dividends and how you can have them paid are sent to shareholders at the relevant time. You can also change your chosen election at any time by downloading a currency election form from the Computershare Investor Centre (see our Investor Centre section below).

Dividend cheques remain valid for cashing for 1 year.

You should contact your financial adviser, stockbroker or accountant regarding any tax issues arising from your receipt of a dividend.

Lost Dividends

If you have lost or not received a dividend you will need to contact the Registrars or your broker. Playtech is committed to making sure that all due dividends are received by its shareholders.

Tracking Your Shareholding

You can monitor your shareholding at any time by logging on to the Computershare Investor Centre at www.computershare.co.uk. You will need to register your details and input either your share certificate number or the shareholder reference number provided to you by your stockbroker.
